Terms of Service
Effective Date: September 29, 2025
These Terms form a binding legal agreement between users and WiredWP Technologies Inc., a British Columbia corporation. They govern access to and use of the RightPlace App in beta or general release form.
1. Company Information
WiredWP Technologies Inc. is incorporated in British Columbia, Canada, located at 20627 Fraser Hwy, Langley, BC V3A 4G4.

Legal notices by post are effective five business days after mailing. Terms are drafted in English and govern all translations.
2. Application Information
RightPlace App (Beta Version 0.20.0) helps users manage WordPress websites and optimize workflows. Available worldwide except in embargoed jurisdictions.
The software is not affiliated with, endorsed by, or sponsored by WordPress Foundation or Automattic. WordPress® is a registered trademark of the WordPress Foundation.
3. Data Handling and Privacy
Local Storage: Content, posts, settings, and passwords stored locally on devices; passwords secured in OS keychain or equivalent manager.
Cloud Storage: User login info, encryption keys, and encrypted database files may be stored on company servers for synchronization and cross-installation use.
Third-Party Services: Software uses cloud infrastructure, email delivery, payment processors, and optional analytics/crash-reporting tools. Company maintains subprocessor lists with notice of updates.
Legal Compliance: Data processing follows GDPR, CCPA, and PIPEDA requirements.
Retention: Account data deleted within 30 days of termination; encrypted backups persist up to 90 days before permanent deletion.
Children's Data: Not intended for users under 16 (or 18 where required).
International Transfers: EU/UK users' data transferred per European Commission Standard Contractual Clauses or equivalent mechanisms.
4. License and Usage Rights
License Grant: Limited, non-exclusive, non-transferable, revocable license for personal, commercial, and agency purposes.
Restrictions: Users cannot:
- Reverse engineer, decompile, or disassemble
- Redistribute, sublicense, resell, or transfer
- Use for SaaS hosting or service bureau purposes
- Circumvent license enforcement mechanisms
- Conduct benchmarking without written consent
- Violate applicable laws
Ownership: Software is licensed, not sold. All intellectual property remains WiredWP Technologies Inc.'s exclusive property.
Seats and Devices: One user per license; installable on up to three devices per seat.
Client Sites: Unlimited client sites within reasonable fair-use limits; abuse may result in suspension/termination.
Open-Source Components: Software may incorporate third-party open-source software under separate licenses. Company disclaims warranties for such components.
5. Accounts and Security
Account Requirement: Active account required to use software.
User Responsibilities: Maintain credential confidentiality, ensure account information accuracy, enable multi-factor authentication, notify company immediately of breaches. Account sharing prohibited.
Termination: Company reserves right to suspend or terminate for abuse, fraud, non-compliance, inactivity exceeding 24 months, Acceptable Use Policy violation, or security threats. Emergency suspensions may occur without notice.
6. Payments and Refunds
Pricing Model: Currently one-time Lifetime Deal (LTD); company may introduce subscriptions or new pricing tiers.
Refund Policy: Available within 15 days of initial purchase, limited to first organizational purchase. Requires license deactivation; processed to original payment method only. Unavailable in abuse, fraud, or chargeback cases.
Taxes: Prices exclude applicable taxes (GST/HST, VAT) unless stated. Users responsible for all purchase-related taxes.
Chargebacks: Filing a chargeback revokes license immediately; unpaid balances remain due.
7. Beta Program Disclaimers
Software is beta form. Users acknowledge:
- May contain errors, bugs, incomplete features
- Not suitable for mission-critical/production environments
- Users solely responsible for data backups
- Company provides no SLAs or formal support during beta
- Company may discontinue/alter beta features anytime; may delete beta data after 30 days' notice
8. Warranties and Liability
Disclaimer: Software provided "AS IS" and "AS AVAILABLE" without warranties of any kind — express, implied, statutory, or otherwise — including merchantability, fitness for particular purpose, title, or non-infringement.
Liability Limitation: Company's total aggregate liability shall not exceed amount paid; for Lifetime Deals, capped at one-time purchase price.
Exclusion of Damages: Company not liable for indirect, incidental, consequential, special, exemplary, or punitive damages including lost profits, lost data, business interruption, or replacement costs.
Indemnification: Users indemnify, defend, and hold company harmless from claims, demands, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from misuse, Terms violation, or third-party rights infringement.
9. Governing Law and Dispute Resolution
Terms governed by British Columbia law without conflict principles.
Dispute Resolution: Binding arbitration administered by Vancouver International Arbitration Centre (VanIAC), seat in Vancouver, language English. Small claims court available for individual claims. Mediation may be attempted first.
No Class Actions: Claims brought individually only; class action and jury trial waivers apply to fullest extent permitted.
10. Updates and Modifications
Company may provide automatic updates, patches, or modifications with user consent through use.
Company may discontinue/alter features anytime without liability.
Terms updated periodically; updates effective upon website posting or in-app notification. Continued use constitutes acceptance.
Company reserves right to adjust pricing or introduce new plans in its sole discretion.
11. Additional Protections
Acceptable Use: Cannot create, distribute, or facilitate malware, spam, scraping, denial-of-service attacks, illegal content, or high-risk activities (medical, aviation, nuclear, financial trading).
Export Controls: Users represent non-location in embargoed countries and non-restricted party status under export laws. Full compliance required.
Force Majeure: Company not liable for failures/delays from circumstances beyond reasonable control (natural disasters, power failures, internet outages, strikes, governmental action, terrorism).
Assignment: Company may assign Terms without restriction, including mergers/acquisitions/asset sales. Users cannot assign without written consent.
Feedback: Any user feedback, suggestions, or ideas freely usable by company without restriction, royalty, or obligation.
Publicity: Unless opted out in writing, company may reference user name and logo for marketing/promotional purposes.
Electronic Communications: By using software, users consent to receive all notices electronically (email, in-app notification), satisfying legal written notice requirements.
12. Severability
If any provision is unenforceable, remaining provisions remain in full force.
13. Entire Agreement
These Terms, together with the Company's Privacy Policy, constitute the entire agreement concerning the Software, superseding prior or contemporaneous agreements.
